Agreement to Terms

By accessing or using the TradeWorks AI website, services, AI agents, digital marketing services, or consulting services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Services. These Terms constitute a legally binding agreement between you (“Client,” “you,” or “your”) and TradeWorks AI (“Company,” “we,” “us,” or “our”).

Services Description

TradeWorks AI provides AI-powered virtual assistant agents, digital marketing services, and CRM/technology consulting for trades, home services, and professional service businesses. Our Services include but are not limited to:

  • AI Virtual Assistant Agents: automated call handling, text messaging, chat, appointment booking, lead qualification, and smart escalation
  • Digital Marketing: local SEO, Google Business Profile optimization, Google Ads management, GEO/AEO optimization, website development, and content creation
  • CRM & Technology Consulting: platform selection, configuration, workflow setup, integration, and training

Service features, availability, and scope may change over time. We will notify active clients of material changes to Services they are subscribed to.

Account and Billing

TradeWorks AI offers the following pricing structure:

  • Starter AI Virtual Assistant Agent: $10 per month with a 60-day free trial (no credit card required to start)
  • Professional AI Customer Service Agent: $40 per month plus a one-time $199 setup fee
  • Digital Marketing Services: individually priced starting at $20 per month depending on scope and services selected
  • CRM & Technology Consulting: project-based pricing starting at $149 one-time

All subscription plans are billed monthly. You may cancel any subscription at any time — there are no long-term contracts, cancellation fees, or early termination penalties. Upon cancellation, your service will remain active through the end of your current billing period. Refunds are not provided for partial billing periods.

You are responsible for providing accurate billing information and keeping your payment method current. We reserve the right to suspend Services for accounts with overdue payments after a 7-day grace period and written notice.

Free Trial Terms

The Starter AI Virtual Assistant Agent includes a 60-day free trial. No credit card is required to begin the trial. During the trial period, you receive full access to all Starter plan features including unlimited calls and texts, appointment booking, and Google Calendar integration.

At the end of the 60-day trial, you will be prompted to enter payment information to continue service at $10 per month. If you choose not to continue, your account will be deactivated and no charges will be applied. We will not charge your payment method without your explicit authorization.

Acceptable Use

You agree to use TradeWorks AI Services only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:

  • Use the Services for any unlawful, fraudulent, or deceptive purpose
  • Misrepresent AI agents as human beings when interacting with your customers, clients, or leads — AI agents should be identified as automated assistants when asked directly
  • Use the Services to send unsolicited spam, bulk messages, or communications that violate CAN-SPAM, TCPA, or other applicable telecommunications regulations
  • Attempt to reverse-engineer, decompile, or extract the underlying technology, algorithms, or training data of our AI agents
  • Use the Services in a manner that could damage, disable, or impair TradeWorks AI systems or interfere with other clients’ use of the Services
  • Provide false or misleading information during account registration or service configuration

You are responsible for the accuracy of all business information, pricing, service descriptions, and scheduling parameters you provide for AI agent configuration. TradeWorks AI is not liable for errors in AI agent responses that result from inaccurate configuration data provided by you.

Intellectual Property

TradeWorks AI retains all ownership rights to its technology, AI models, software, platform, methodologies, templates, frameworks, and proprietary processes. Nothing in these Terms transfers ownership of TradeWorks AI intellectual property to you.

You retain ownership of your business content, customer data, branding materials, and any original content you provide to us. Upon full payment for services rendered, you own all deliverables created specifically for your business including website content, marketing copy, and configured workflows. TradeWorks AI retains the right to use anonymized, aggregated data for service improvement purposes.

Data and Privacy

Your use of TradeWorks AI Services is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your data and your customers’ data. By using our Services, you acknowledge that you have read and agree to our Privacy Policy.

You are responsible for ensuring that your use of AI agents and automated communications complies with all applicable data privacy laws, including but not limited to CCPA, GDPR (if applicable), and state-specific privacy regulations. You must obtain any necessary consents from your customers before their data is processed through our Services.

Limitation of Liability

TradeWorks AI Services are provided on an “as-is” and “as-available” basis. We make no warranties, express or implied, regarding the Services, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by applicable law, TradeWorks AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, loss of business, or loss of data, arising out of or related to your use of the Services.

In no event shall TradeWorks AI’s total liability to you for all claims arising out of or related to these Terms or the Services exceed the total amount paid by you to TradeWorks AI during the twelve (12) months immediately preceding the event giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless TradeWorks AI, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any content or data you provide to TradeWorks AI for use in the Services
  • Any claim by a third party related to your use of the Services, including claims from your customers or leads

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms or the Services shall be brought exclusively in the state or federal courts located in Hillsborough County, Florida, and you consent to the personal jurisdiction of such courts.

Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last updated” date at the top of this page and notify active clients via email at least 30 days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.
